This is a plain-English template for using Soddesk (https://soddesk.com), sponsored by Confluence Holdings. A lawyer has not signed off on it. If you do not agree, do not use the site.

What Soddesk is

Soddesk publishes tools and guides and takes job requests. A partner grower quotes and fills an order. You deal with that grower. Soddesk does not grow, sell, deliver, invoice, or finance sod, and it does not set prices. Buyers do not pay Soddesk. Growers who fulfill orders pay Soddesk a commission.

Soddesk is not a party to a sale between you and a grower, or to a quote you give your own customer.

Information, not professional advice

Guides and other pages are general information. They are not agronomy, engineering, irrigation, legal, or tax advice for a particular site. Soil, slope, water rules, and weather differ. Check the sources on each guide, your county extension office, and the grower who supplies the sod before you rely on a detail.

Calculator

The sod calculator is an estimate. Square yards are square feet divided by 9. The waste percentage, pallet coverage, and big roll coverage are numbers you can edit. The pallet and big roll defaults are our partner grower's sizes; sizes vary by grower. The quote from the grower controls the amount and the price. The calculator does not know your site.

Quote builder

The quote builder makes a document for you, on your device. Every price is one you type. Soddesk does not suggest or check prices. The quote is yours. It is not a Soddesk quote and not a grower quote unless a grower separately says so. You are responsible for what you send your customer, including tax, terms, and whether the numbers are right.

Job requests

Submitting Start a job does not reserve sod, create an account, or form a contract to buy anything. It asks us to share the request with a partner grower, as the consent text on the form describes. The grower may decline, change a date, or quote a different quantity. The only grass the form offers right now is Tifway 419 Bermuda.

Soddesk serves North Texas and Oklahoma. A request outside that area may not be placed.

Acceptable use

Do not misuse the form (including spam), attempt to break the site, or upload anything unlawful into the quote builder. The quote builder does not upload files to us; do not put customer information into it if you are not allowed to store that information in your own browser.

Limitation of liability

The site is provided as-is. To the extent the law allows, Soddesk and Confluence Holdings are not liable for lost profits, a failed install, a grower's price or delivery, a quote you issue, or damages from using the calculator or the guides. Some places do not allow certain limits. In those places, the limit applies only as far as the law allows.

This section is a template. Counsel should replace it with language that matches the business.

Governing law

Placeholder: these terms are intended to be governed by the laws of the State of Texas, without regard to conflict-of-law rules. Confirm venue and this choice of law with counsel before relying on them.

Changes

We may update the site and these templates. The date at the top is when this draft was last edited. Continued use after a posted change is your acceptance of the new template, once counsel has approved a real version. Until then, treat this page as a draft.
